best effort
An underwriting agreement in which the investment bank commits to making a best effort to sell initial public offering (IPO) shares. Best effort agreements typically contain a provision that gives the underwriter the right to cancel the IPO if their best effort falls short of expectations. Compare to bought deal. See All or None.
