insider trade
A sale or purchase of a company's stock by an individual with access to confidential company information. An insider trade may be legal or illegal, depending on when and under what circumstances it is executed. An illegal insider trade is one in which the Transaction is initiated on the basis of material information that has not been released to the public. See Insider.
