proxy statement
An official document, filed with Securities and Exchange Commission (SEC) and provided to every shareholder that discloses all pertinent information to be voted on at a shareholder meeting. The proxy statement also includes a request for the shareholder to authorize the company's management to vote the shareholder's shares at the meeting. See Proxy; proxy fight.
